Terms of Service

These Terms of Service ("Terms") are an agreement between you and 3EGates ("we", "us"), based in Ottawa, Ontario, Canada. By creating an account or using the service, you agree to these Terms. If you are using the service for an organization, you confirm you are authorized to accept these Terms on its behalf.

1. The service

3EGates helps you stay in control of what your AI tools and automations do. It adds safeguards and gives you clear information and choices. It does not replace your own judgment, professional advice, or your legal and regulatory obligations. You remain responsible for the tools you connect and for the decisions you and your team make.

2. Your account

• Provide accurate information and keep it up to date.
• Keep your password and access keys confidential, and tell us promptly if you suspect unauthorized use.
• You are responsible for activity under your account, including by people you invite and tools you connect.

3. Acceptable use

You agree not to: break any law; infringe others' rights; attempt to get around, disable or test the service's safeguards without our written permission; interfere with or overload the service; access other customers' data; or use the service to harm people or systems.

4. Your content and data

You keep ownership of the information you and your tools send to the service. You give us permission to process it only to provide, secure and support the service, as described in our Privacy Policy. You confirm you have the right to share that information with us.

5. Our property

The service, its software, design, content and brand belong to us or our licensors and are protected by law. We give you a limited, non-exclusive, non-transferable right to use the service under these Terms. You may not copy, reverse engineer or resell it.

6. Trials, fees and payment

Free trials are provided as-is for evaluation. If you choose a paid plan, fees, billing cycle and taxes (including HST) will be shown before you buy. Fees are payable in Canadian dollars unless stated otherwise. If you are a consumer, nothing in these Terms limits any rights you have under Ontario's Consumer Protection Act, 2002.

7. Availability and changes

We work to keep the service available and secure, but it may occasionally be interrupted for maintenance or reasons outside our control. We may improve or change the service; if a change significantly reduces what you pay for, we will tell you in advance.

8. Suspension and ending

You may stop using the service and close your account at any time. We may suspend or end access if you seriously or repeatedly breach these Terms, if required by law, or to protect the service or others. Where reasonable, we will give notice and a chance to fix the problem. On closure you may ask for a copy of your records within 30 days.

9. Disclaimers

To the extent permitted by law, the service is provided "as is" and "as available". We do not promise it will be error-free or that it will prevent every unwanted outcome.

10. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue or data, and our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim. These limits do not apply where the law does not allow them to be limited, including for consumers under Ontario law.

11. Indemnity

If you use the service for a business, you agree to cover reasonable losses we suffer because of your breach of these Terms or your misuse of the service, to the extent permitted by law.

12. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be heard by the courts located in Ottawa, Ontario, unless the law gives you the right to bring a claim elsewhere.

13. Changes to these Terms

We may update these Terms. We will post the new version with its date and, for significant changes, notify account holders before they take effect. Continuing to use the service after that means you accept the updated Terms.

14. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our not enforcing a term is not a waiver. These Terms and our Privacy Policy are the whole agreement between us about the service.
